Privacy Statement

Your personal information is being collected by Sanofi-aventis Australia Pty Ltd (ABN 31 008 558 807) and its Australian affiliates. We will use the information provided in order to process payments, comply with our contractual obligations to you and to manage our relationship with you generally.  You may not register to use this portal if we do not collect your personal information.
Personal information that we collect via this portal will be disclosed to our affiliates and third party service providers, including HighRadius Corporation, which operates this portal on our behalf, and the financial institution which processes payments on our behalf.  These recipients may store or access your personal information outside of Australia, in a range of locations including Germany.
Any payment-related information submitted in respect of this portal (such as bank account details, credit card numbers etc) will be stored by HighRadius Corporation and is not accessible to Sanofi.

Sanofi Payment Portal - Terms of Use 

This page sets out the terms and conditions (“Terms of Use”) governing the use of this payment portal (the “Payment Portal”).  
By using the Payment Portal you agree to comply with these Terms of Use.  If you do not agree to these Terms of Use, you must not use the Payment Portal.

About us

Sanofi-Aventis Australia Pty Ltd (ABN 31 008 558 807) is a company registered in Australia with its registered office at Bld D 12-24 Talavera Road, Macquarie Park NSW 2113 belonging to the Sanofi group of companies, which includes all local and international affiliates, subsidiaries, related entities and related bodies corporate (collectively, “Sanofi”, “we”, “our”, or “us”).

Status of these Terms of Use 

These Terms of Use form a legally binding contract between you and Sanofi and govern your use of the 
Payment Portal. 

Any payments made via the Payment Portal are also subject to the applicable terms and conditions of quotation and supply between you and the relevant Sanofi entity, which includes the terms set out at https://sanofiarportal.myportfolio.com/terms-and-conditions-of-sale or such other terms put in place by Sanofi from time to time, (together, “Supply Terms”).  In the event any conflict or inconsistency between the Supply Terms and these Terms of Use, the Supply Terms will prevail to the extent of the inconsistency.
We reserve the right, at our discretion, to change or modify these Terms of Use at any time without notice and, unless otherwise indicated, such changes will become effective immediately upon posting; therefore, please check these Terms of Use periodically for changes. 

Use of the Payment Portal

We reserve the right to suspend, amend or cancel the operation of the Payment Portal at any time, either temporarily or permanently.  
You acknowledge and agree that we are not directly involved in the processing of payments via the Payment Portal.  Payment processing will be conducted by a third party service provider engaged by us.  
It is your responsibility to verify that all payment information and other details which you submit via the Payment Portal are correct. Incorrect information may lead to a delay in processing your payment.
  
Your account

You are required to create an account in order to access some of the functionality within the Payment Portal. Without limitation, you must create an account in order to make a payment via the Payment Portal or access your account information.  By applying to create an account on the Payment Portal, you agree and warrant that you are authorised to act on behalf of the entity that you work for and make payments on behalf of that entity.
You must treat your user name and password for the Payment Portal as confidential and must not share them with any other person.
You are responsible for any transactions made using your account.

Prohibited uses

You may use the Payment Portal only for lawful purposes and in accordance with these Terms of Use and the Supply Terms. Other than to the extent which may be permitted by law, you agree not to (and must not attempt to or permit or encourage any other person to):
•    link to the Payment Portal without our prior written approval;
•    use any text or data mining or web scraping tools in connection with the Payment Portal or its content;
•    knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; 
•    attempt to gain unauthorised access to the Payment Portal, the server on which the Payment Portal is stored or any server, computer or database connected to this Payment Portal; 
•    translate, modify or tamper with, any part of the Payment Portal or its content;
•    create derivative works of or from any part of the Payment Portal or its content; 
•    sell, rent, lease, sub-licence, assign, exchange or otherwise transfer your rights under these Terms of Use;
•    use the Payment Portal in any way that violates any applicable federal, state, local or international law or regulation (including any laws regarding privacy or the export of data or software to and from other countries) or in a manner which is fraudulent; or
•    use the Payment Portal for the purpose of exploiting, harming or attempting to exploit any person in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise.

Direct debits 

You are not required to pay us using direct debit. However, in the event you choose to pay using direct debit, you agree and acknowledge that: 
•    we will provide you with a direct debit request form to complete;
•    you may use a checking/saving account when making a payment to us; 
•    by agreeing to pay via direct debit, you authorise us to arrange for funds to be debited from your nominated account in accordance with these Terms of Use;
•    it may take up to 6 Business Days (with a “Business Day” being a day which is not a Saturday or Sunday and on which the banks are generally open for business in Sydney, Australia, prior to your first payment transaction, to set up your internet payment option with your bank;
•    you are authorised to make payments/withdrawals from the nominated bank account; 
•    we reserve the right to terminate your direct debit arrangement at any time and for any reason;
•    sufficient funds will be in the bank account at the time your payment transaction reaches your bank; 
•    if a direct debit payment fails for any reason, it is your responsibility to pay us the relevant amount via other applicable means; 
•    you may cancel or change your direct debit arrangement by logging into your account on the Payment Portal. You may also contact your own bank or other financial institution in order to make changes to your direct debit arrangement.  It may take up to 6 Business Days for changes to our direct debit arrangements to be processed; and 
•    you must make your payment 1 or more Business Days in advance of the date you want the transaction(s) to be posted to your account, in order to provide us with sufficient time to process your request.  

Credit cards

You are not required to pay us using a credit card. However, in the event you choose to pay by use of a credit card via the Payment Portal, you agree and acknowledge that:
•    you are authorised to make payments using the credit card; 
•    you authorise Sanofi to request payment from you nominated card account; 
•    additional surcharges apply to credit card payments, as follows:
o    for Visa and Mastercard Credit Cards - 0.75% of the purchase price; and
o    for Amex cards - 2.09% of the purchase price for payments up to [AUD]20,000, 1.87% of the purchase price for payments of [AUD]20,000 up to [AUD]100,000 and 1.76% for payments in excess of [AUD]100,000;
•    we reserve the right to revoke your ability to pay via credit card at any time and for any reason; 
•    if your card expires, you will promptly provide details of your replacement card;
•    if a credit card payment fails for any reason, it is your responsibility to pay us the relevant amount via other applicable means; and 
•    in order to provide us with sufficient time to process your request, payments must be made 1 or more days in advance of the desired date for transaction(s) to post to your account. 

Automatic payments

You may choose to purchase goods using Autopay.  If you select this option the payment details you provide to us will be stored and the relevant amount will be paid automatically when your invoices reach their due date.  You will receive a notification from us (via email) once each payment has been made.
By opting into to use Autopay, you authorise Sanofi to charge the requested bank account provided. Should your bank account details change, please ensure you update us with your new details as failure to do so may result in a declined transaction.

Intellectual Property

The layout, content and each of the components, including trade marks, logos and domain names, appearing on the Payment Portal belong to Sanofi or its licensors and are protected by intellectual property rights. 
No component of the Payment Portal may be copied, reproduced, altered, edited, downloaded, denatured, transmitted or distributed in any way whatsoever, on any medium whatsoever, in whole or in part, without our prior written consent, except as specified in these Terms of Use. You may print off one copy, and may download extracts, of any page(s) on the Payment Profile for your personal, non-commercial use and you may draw the attention of others within your organisation to content posted on the Payment Profile. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way.

Nature of information

Information, especially financial information, published on the Payment Portal should not be considered as an encouragement to invest. It should not under any circumstances be interpreted as prospecting or as a public offering, nor is it an offer to subscribe, buy or swap shares or other securities in Sanofi. We draw your attention to the fact that financial information posted on the Payment Portal (if any) is regularly updated.

The Payment Portal may offer opinions by experts consulted in a particular field in relation to the content of the Payment Portal or excerpts from press articles. Any such information solely represents the opinion of the expert consulted or the publication, and is not necessarily the opinion of Sanofi. Any such experts are not employees of Sanofi and do not receive any emoluments in exchange for Sanofi using their opinion. Sanofi is not responsible for the accuracy or completeness of any such information and opinions. Experts’ opinions reflect their own personal views and should never be interpreted as being the opinion or responsibility of Sanofi.

The Payment Portal may also include information on health, physical conditions, the medical field and medical treatments solely for human use. This information is published on the Payment Portal for information purposes only and is no substitute for the advice of your physician or pharmacist. The information should not be used under any circumstances to make a medical diagnosis of an illness or physical problem, or for prescribing or using drugs presented on the Payment Portal. The Payment Portal is not intended to be used to report health concerns, adverse events or product technical complaints, or to ask technical or medical questions regarding Sanofi products. In all instances you should refer to your physician or pharmacist.

This Payment Portal may include links to other websites which are not controlled by us. Those links are provided for your convenience only and we are not responsible for their use, effect or content.
We make no representations or warranties as to, and accept no responsibility for, the accuracy of information on those sites, nor do we endorse any information, opinion, goods or services referred to on them. You acknowledge and agree that you access such websites at your own risk.

Performance of the Payment Portal and accuracy of information 

We make no guarantee as to the reliability, availability, or performance of the Payment Profile. The performance of the Payment Profile depends on various factors, including the functions, capacity and configuration of the device which you use to access the Payment Profile, the speed of your internet connection, and the number of users accessing the systems which support the Payment Profile.
We and/or our suppliers may, at any time, alter or interrupt, temporarily or permanently, all or part of the Payment Portal to undertake maintenance and/or make improvements and/or changes to the Payment Portal. We are not responsible for any alteration, suspension or interruption of the Payment Portal.
We will use reasonable endeavours to ensure that information on the Payment Portal is accurate and up-to-date, however to the extent permitted by law we do not give any warranty, guarantee or representation:
•    that you will be able to use the Payment Portal or any of its content at any time;
•    regarding the accuracy, reliability, timeliness or otherwise of any of the information contained on the Payment Portal; or
•    that the Payment Portal will operate uninterrupted or error-free.
The Payment Portal and its contents are provided "as is" without any guarantee of any kind, whether implicit or explicit, to the maximum extent permitted by law. 
We may need to update and change the Payment Portal from time to time, including changing the content available on, or the functionality of, the Payment Portal.  

Our liability

Except as set out in the section below or as otherwise required by law, you agree that we are not liable to you or anyone else for any loss or damage (including any direct, indirect, special or consequential loss), whether in tort (including negligence) or otherwise arising out of, or in connection with the Payment Portal and its content, including in connection with: 
•    your use, and the use by anyone else in your organisation, of the Payment Portal or any of its content; 
•    any payments processed via the Payment Portal; and
•    your inability to the Payment Portal or any of its content for whatever reason and however arising, including (without limitation) negligence.

Australian Consumer Law

To the extent we are permitted to do so by law, we exclude from these Terms of Use any term (including any representations, conditions and warranties), guarantee or right that may be implied or imposed, whether by statute, general law or custom.  This does not apply in respect of any term, guarantee or right implied or imposed by law for which we are not able to exclude or limit our liability.  However, where we are able to limit our liability for breach of any such term, guarantee or right, we limit our liability to the following remedies (the choice of which will be at our sole discretion):
•    if the breach of an implied warranty or condition relates to services: (i) the supply of the services again; or (ii) the payment of the cost of having the services supplied again; or
•    if the breach of an implied warranty or condition relates to goods: (i) the replacement of the goods or the supply of equivalent goods; (ii) the repair of such goods; (iii) the payment of the cost of replacing the goods or acquiring equivalent goods, or having the goods repaired.

Termination of access

We may terminate your access to the Payment Portal at any time without giving any explanation or justification, and you agree that we have no liability for any costs, losses or damages of any kind arising as a consequence of such termination.
Governing law and jurisdiction 
These Terms of Use and the Payment Portal are governed by the laws of New South Wales, Australia, and any disputes relating them are subject to the non-exclusive jurisdiction of the courts of New South Wales, Australia. 

Interpretation

In these Terms of Use (unless the context otherwise requires): (i) the words “including” and “include” and words of similar effect shall be deemed to have the words “without limitation” following them; (ii) the words “other” and “otherwise” are illustrative and shall not limit the sense of the words preceding or following them; (iii) references to a “person” shall include natural persons, firms, companies, associations, corporate or unincorporated bodies (whether or not having separate legal personality) and that person’s legal and personal representatives, successors and permitted assigns; (iv) words importing the singular shall include the plural and vice versa; and (vi any reference to any legislative provision is a reference to it as it is in force from time to time (taking account of any amendment, extension or re-enactment) and includes any subordinate legislation for the time being in force made under it.  The headings in these Terms of Use are for ease of reference only and will not affect the construction or interpretation of the Terms of Use.
